Visa International Service Association, its affiliated companies (collectively referred to herein as “Visa”, “us”, “we” or “our”), themselves or through their service providers, provide this online Procurement Solution (the "Site") as a service to Visa-issuing financial institutions (“Issuers”).

Introduction
The Site contains various resources offered by Visa and intended for use by Issuers and their employees in connection with this online Procurement solution.

Eligibility
The Site is available to employees of Issuers who have been authorized by their employer. (the “Issuer”). If you are no longer an employee of an Issuer, you are no longer authorized to use the Site. Visa may suspend or revoke your authorization to access the Site at any time, including upon instructions from your employer.

Site Functionality
The site is intended to provide the user with the ability to securely and safely procure, authorize and settle goods online from pre-approved and specific merchants with specific privileges assigned to each different user.

Changes to the Agreement
Occasionally we may, in our discretion, make changes to the Site and the Agreement. When we make material changes to the Agreement, we’ll notify you through the Site. By continuing to use the Site after those changes are made, you are expressing and acknowledging your acceptance of the changes.

Use of the Site – Appropriate Conduct
In accessing and using the Site, you agree that you will only access the Site in your position as an employee of the Issuer. You further agree that you will not:
- Share your user name, password or other log-in credentials with any other person; and
- Access the Site after your employment or relationship with Issuer ceases.

License and assignment
The Site is owned and operated by Visa or Visa’s licensors, and we grant you a limited, non-exclusive, non-transferable, revocable license for personal, non-commercial use only on any device that you own or control (the “License”). You may not modify, translate, reverse engineer, decompile, disassemble, copy, distribute, transmit, display, perform, reproduce, publish, license, create derivative works from, transfer, or sell any information, software, products, data or services obtained from or in connection with the Site. The materials available through the Site are the property of Visa or its licensors, and are protected by copyright, trademark and other intellectual property laws. Except for the limited licenses expressly granted to you in this agreement, Visa and its licensors expressly reserve all other rights and licenses. You are free to display and print for your personal, non-commercial use information you receive through the Site, but you may not otherwise reproduce or modify any of the materials without the prior written consent of their owner. You may not distribute copies of materials found on this website in any form (including by e-mail or other electronic means), without prior written permission from their owner. Some use of the Site may require you to download a software package (“Software”). Visa hereby grants you a limited, nonexclusive, non-transferable, revocable license to use the Software, solely to access and utilize the Site. Visa retains ownership of all copies of the Software or other Visa software applications even after installation on your various devices, as applicable (“Devices”). Your license to use the Software is automatically revoked if you violate the Agreement, including in a manner that implicates our intellectual property rights. We hereby reserve all rights not expressly granted in the Agreement. The Site may update the Software on your Devices automatically when a new version is available.

The Site may contain links to websites, applications or other services operated by third parties (the “Linked Sites”). Visa does not monitor or control the Linked Sites and makes no representations regarding, and is not liable or responsible for the accuracy, completeness, timeliness, reliability or availability of, any of the content uploaded, displayed, or distributed, or products, or services available at the Linked Sites. If you choose to access any third-party site (including any Linked Site), you do so at your own risk, and your use of that site is subject to its own terms of use and privacy policy, which you should review. The presence of a link to a third-party site does not constitute or imply Visa’ endorsement, sponsorship, or recommendation of the third party or of the content, products, or services contained on, or available through, the Site.

Confidentiality
The information made available through the Site includes Visa’s confidential and proprietary information and is intended for use only by Issuer employees in connection with the Site. Information contained within the Site may not be used or disclosed outside of the Site without Visa’s written permission. As a condition of accessing the Site, you agree to maintain the confidentiality of the information and materials contained therein.

No Warranties: TO THE FULLEST EXTENT ALLOWABLE BY APPLICABLE LAW, ALL MATERIALS, INFORMATION, PRODUCTS, DATA, SOFTWARE, AND SERVICES INCLUDED IN OR AVAILABLE THROUGH THE SITE ARE PROVIDED “AS IS” AND WITH ALL FAULTS FOR YOUR USE. VISA DOES NOT GUARANTEE ACCURACY, ADEQUACY, TIMELINESS, RELIABILITY, COMPLETENESS, OR USEFULNESS OF ANY OF THE CONTENT OR INFORMATION PROVIDED VIA THE SITE AND VISA DISCLAIMS LIABILITY FOR ANY ERRORS OR OMISSIONS. Intellectual Property Rights
Visa reserves all patent, copyright, trade secret, trade name, trademark, accompanying media or documentation, and other proprietary rights related to the Site, and you shall not infringe or violate such rights.

Dispute Resolution
Any claim between you and Visa arising out of, or connected with this Agreement or the Site shall be resolved exclusively within the courts of California, United States of America and you waive any jurisdictional venue or inconvenient forum objections to such courts.

Copyright Infringement
Visa respects the intellectual property rights of third parties, and complies with the terms of the Digital Millennium Copyright Act (DMCA) and other similar laws regarding such rights. By submitting any material through the Site, you are granting permission to have this material posted on the Site, and are representing that you are the rightful owner of the submitted material, and that no one else may claim rights to this material. Visa reserves the right to remove access to infringing material. Such actions do not affect or modify any other rights Visa may have under law or contract. Pursuant to 17 U.S.C. § 512(c), to be effective, the Notification must include the following:
i. Identification of the copyrighted work claimed to have been infringed, or, if multiple copyrighted works at a single online site are covered by a single notification, a representative list of such works at that site.
ii. Identification of the material that is claimed to be infringing or to be the subject of infringing activity and that is to be removed or access to which is to be disabled, and information reasonably sufficient to permit Visa to locate the material.
iii. Information reasonably sufficient to permit Visa to contact the complaining party, such as an address, telephone number, and, if available, an email address.
iv. A statement that the complaining party has a good faith belief that use of the material in the manner complained of is not authorized by the copyright owner, its agent, or the law.
v. A statement that the information in the notification is accurate, and under penalty of perjury, that the complaining party is authorized to act on behalf of the owner of an exclusive right that is allegedly infringed.
vi. This process only relates to reporting a claim of copyright infringement. Messages related to other matters will not receive a response through this process.

Legal Compliance
You represent and warrant that (i) you are not located in a country that is subject to a U.S. Government embargo, or that has been designated by the U.S. Government as a “terrorist supporting” country; and (ii) you are not listed on any U.S. Government list of prohibited or restricted parties. You agree that neither the Site, the accompanying documentation nor any direct product thereof is being or will be shipped, transferred or re-exported, directly or indirectly, into any country prohibited by the United States Export Administration Act and the regulations thereunder or will be used for any purpose prohibited by the Act.

Miscellaneous
Assignment: You may not assign this Agreement without Visa's prior written consent. Entire Agreement: This Agreement represents the entire agreement between You and us, which may only be amended as described in this Agreement. If any part of this Agreement is found invalid, the balance of the Agreement shall remain enforceable. Governing Laws: THIS AGREEMENT IS SUBJECT TO THE LAWS (EXCLUDING CONFLICTS OF LAWS PROVISIONS) OF THE STATE OF CALIFORNIA, U.S.A. Additional Provisions: The failure to enforce any term of this Agreement on one occasion shall not prevent enforcement on any other occasion or the enforcement of any other term. Headings and captions shall not be considered included for purposes of interpretation or application hereof, but are for convenience only.
